Scope of these Terms
These Terms form a binding agreement between TopSearch Web
(“TopSearch Web”, “we”, “us” or “our”) and the person or business
purchasing an AI Video Ads package (“Client”, “you” or “your”).
By completing payment, selecting the required acceptance boxes or
instructing us to begin work, the Client confirms that they have
read, understood and accepted these Terms.
The package description displayed at the time of purchase forms
part of this agreement, including the number of videos, duration,
video formats, included revisions and stated price.

Business and professional purchases
AI Video Ads packages are intended primarily for businesses,
professionals, brands, agencies, organisations and persons
purchasing the service for commercial or professional purposes.
By placing an order as a business customer, the Client confirms
that the service is being purchased wholly or mainly in connection
with a trade, business, craft or professional activity.
Where the Client is legally treated as a consumer despite this
declaration, any mandatory consumer rights that cannot lawfully
be excluded will continue to apply.

Orders and payment
Full payment is required before production begins, unless a
separate written payment arrangement has been expressly accepted
by TopSearch Web.
An order is considered accepted only after successful payment and
confirmation from TopSearch Web. Prices displayed at checkout are
exclusive or inclusive of VAT as specifically stated at the point
of purchase.
The Client is responsible for providing complete and accurate
billing, contact and business information.

Beginning of production
Production may begin immediately after successful payment and
receipt of the information, files, branding materials, product
images, instructions and approvals required for the project.
Production includes any work connected with the order, including:
- Reviewing the Client’s brief and submitted materials.
- Creative research and concept development.
- Scriptwriting and scene planning.
- AI character, image or video generation.
- Voiceover generation or recording preparation.
- Video editing, subtitles, sound design and rendering.
- Project management and communication.
Once any of the above production work has begun, the service is
considered to have commenced and the cancellation and refund terms
in Section 9 apply.

Client materials and responsibilities
The Client must provide all information and materials reasonably
required to complete the order, including brand details, logos,
product images, factual claims, offer details and any mandatory
legal wording.
The Client confirms that they own, license or otherwise have the
necessary permission to use all materials submitted to TopSearch
Web.
The Client is responsible for checking the accuracy and legality
of product claims, prices, offers, testimonials, health claims,
financial claims and other factual information used in the videos.
TopSearch Web is not responsible for delays caused by incomplete
information, delayed replies, missing materials or changes to the
original brief.

Production time and delivery
Any estimated production time begins only after payment has been
completed and all required information and materials have been
received.
Unless a different timeframe is displayed in the purchased
package or agreed in writing, TopSearch Web will normally aim to
complete production within approximately seven business days.
Delivery times are reasonable estimates rather than guaranteed
deadlines. Technical problems, third-party AI platform delays,
Client changes, missing information or unusually complex projects
may extend the delivery period.
Deliverables may be supplied through email, a cloud-storage link,
a download page or another agreed electronic method.

Revisions and changes
The purchase price includes only the number and type of revisions
expressly stated in the selected package.
A revision means a reasonable adjustment to an existing video
based on the original approved brief. It does not include a new
concept, new script, new product, new spokesperson, new visual
direction or complete recreation of an approved video.
Requests outside the original brief or outside the included
revision allowance may be treated as additional work and quoted
separately.
The Client should submit revision requests clearly and together
wherever reasonably possible.

AI-generated content
The Client understands that the service may use artificial
intelligence for visuals, presenters, characters, voiceovers,
animation, editing or other production elements.
AI-generated content may contain minor visual, movement,
pronunciation or continuity variations. Minor variations that do
not materially prevent the video from serving its intended
advertising purpose will not automatically constitute a defective
service.
TopSearch Web will use reasonable professional efforts to correct
material production errors covered by the purchased package.
The Client must not represent an AI-generated person as a real
customer, employee, medical professional or other real individual
where doing so would be misleading or unlawful.

Cancellations and refunds
Each package involves customised creative work prepared
specifically for the Client.
Once production has begun, the Client may not cancel the order
or receive a refund simply because they have changed their mind,
no longer require the videos, changed their marketing strategy
or decided not to use the completed content.
Payments are non-refundable in respect of all work already
performed, including concept development, scripting, AI
generation, voiceover production, editing, revisions, rendering,
project management and administrative work.
After the agreed package has been completed or delivered, the
purchase price is non-refundable except where the service
materially fails to match the purchased package and TopSearch Web
is unable to correct the material failure within a reasonable
period.
A preference change, subjective dislike of an approved direction,
reduced need for the content, campaign cancellation, poor
advertising performance or rejection by a third-party advertising
platform does not create an automatic right to a refund.
Where mandatory consumer law applies and performance begins during
a statutory withdrawal period at the Client’s express request, the
Client may be required to pay the proportionate value of all
services already supplied. Where the service has been fully
performed following the Client’s prior express consent and
acknowledgement, any applicable withdrawal right may be lost to
the extent permitted by law.

Payment disputes and chargebacks
The Client should contact TopSearch Web first where they believe
that an order has not been delivered in accordance with the
purchased package.
Filing a payment dispute or chargeback does not automatically
cancel the Client’s contractual payment obligations.
TopSearch Web may provide the payment provider with the order
records, accepted Terms, submitted brief, communications,
production files, revision history, delivery records and other
evidence demonstrating that the service was authorised and
performed.

Intellectual property and usage rights
Following full payment, the Client receives commercial usage
rights to the final delivered videos to the extent that such
rights can legally be granted and subject to any applicable
third-party licences or platform terms.
TopSearch Web retains ownership of its internal production
methods, prompts, templates, reusable assets, project structures,
editing systems, workflows and source materials that were not
created exclusively as final deliverables for the Client.
Editable project files, prompts, generation history and working
files are not included unless expressly stated in the purchased
package.
Music, fonts, stock assets, AI tools and other third-party
materials remain subject to their respective licence terms.

Portfolio use and confidentiality
Unless confidentiality has been agreed in writing, TopSearch Web
may display completed, publicly released work in its website,
portfolio, presentations or social media as an example of its
services.
A Client requiring confidential production or complete portfolio
exclusion must notify TopSearch Web in writing before production
begins.
Non-public Client materials will not knowingly be disclosed to
unrelated third parties except where necessary to provide the
service through production, hosting, payment or AI technology
providers.

Advertising and performance disclaimer
TopSearch Web provides creative video production services and does
not guarantee any specific number of views, clicks, leads, sales,
followers, conversions or financial return.
TopSearch Web does not guarantee that Meta, Google, TikTok,
YouTube or any other third-party platform will approve or continue
displaying a video.
Advertising results depend on factors outside our control,
including the offer, product, audience, budget, landing page,
account history, bidding strategy and platform policies.

Prohibited content
TopSearch Web may reject, suspend or terminate an order involving
unlawful, fraudulent, misleading, defamatory, discriminatory,
abusive or rights-infringing material.
The Client must not request the unauthorised use of another
person’s identity, voice, likeness, trademark, copyrighted
material or confidential information.
Where an order is stopped because of unlawful or materially
misleading instructions supplied by the Client, work already
performed remains payable and non-refundable.

Limitation of liability
To the maximum extent permitted by applicable law, TopSearch Web
will not be liable for indirect losses, lost profits, lost
advertising spend, lost business opportunities, platform account
restrictions or decisions made by third-party advertising
platforms.
TopSearch Web’s total liability arising from a specific order will
not exceed the amount actually paid to TopSearch Web for that
order, except where liability cannot legally be limited or
excluded.
Nothing in these Terms excludes liability that cannot lawfully be
excluded under applicable law.

Force majeure and external services
TopSearch Web will not be responsible for delay or failure caused
by events reasonably outside its control, including service
outages, AI platform interruptions, payment-provider disruption,
hosting failures, internet failures, regulatory changes, illness
or other force majeure events.
Where possible, TopSearch Web will notify the Client and resume
production within a reasonable period.

Privacy and data
Personal data submitted during the order and production process
will be processed in accordance with the TopSearch Web
Privacy Policy
.
The Client should not submit sensitive personal information or
confidential third-party data unless it is genuinely necessary
for the project and lawful to provide.

Governing law
These Terms and any dispute relating to an order are governed by
the laws of Greece.
Business-to-business disputes will be subject to the jurisdiction
of the competent courts at the registered seat of TopSearch Web,
unless the parties agree otherwise in writing.
Where mandatory consumer jurisdiction or consumer-protection
legislation applies, those mandatory provisions will prevail.

Changes to these Terms
TopSearch Web may update these Terms from time to time. The version
accepted by the Client at the time of purchase will apply to that
specific order.
If any provision is found invalid or unenforceable, the remaining
provisions will continue in effect.
